Terms of Service

1. Acceptance of Terms

By accessing or using Beeslee ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Faktia Global Technologies Limited, a company incorporated in Ireland (Company Registration Number: 760123), with its registered office at Unit 2, 2 Bridge Street, Athlone, Westmeath, Ireland N37 F1W4 ("Company," "we," "us," or "our").

Please read these Terms carefully before using our Service.

2. Description of Service

Beeslee provides an AI-powered voice receptionist platform that enables businesses to:

  • Create and configure AI voice agents to handle incoming phone calls
  • Manage phone numbers and route calls to AI agents
  • Schedule appointments through calendar integrations
  • Access call recordings, transcripts, and analytics
  • Build knowledge bases to train AI agents on business-specific information

The Service is provided "as is" and may be updated, modified, or discontinued at any time without prior notice.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading practices
  • Harass, abuse, or harm others
  • Send spam, unsolicited communications, or robocalls
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems
  • Use the Service for any illegal or prohibited purpose

5. AI Voice Agent Guidelines

When using AI voice agents, you must:

  • Disclose AI use: Callers must be informed they are speaking with an AI agent
  • Comply with recording laws: Obtain consent for call recording as required by applicable laws
  • Maintain accuracy: Ensure AI agents provide accurate information about your business
  • Handle sensitive data: Not collect sensitive personal information through AI agents without proper safeguards
  • Monitor performance: Regularly review call transcripts and agent behavior

You are solely responsible for the content and behavior of your AI agents.

6. Phone Number Services

Beeslee provides phone number provisioning services through third-party telecommunications carriers. By using our phone number services, you agree to the following terms:

6.1 Phone Number Provisioning

  • Phone numbers are provisioned through our carrier partner (Telnyx) and are subject to their terms of service and acceptable use policies
  • You do not own phone numbers provisioned through the Service; you have a license to use them while your account is active
  • Phone number availability varies by region and is subject to carrier inventory
  • We reserve the right to reclaim or reassign phone numbers that are inactive for extended periods

6.2 Regulatory Compliance and Verification

  • Identity Verification: Certain jurisdictions (including but not limited to EU countries, UK, Australia) require business identity verification before phone numbers can be fully activated
  • Verification Documents: You may be required to provide business registration documents, proof of address, and other identity verification materials
  • Processing Time: Regulatory verification may take 1-5 business days depending on jurisdiction and document completeness
  • Restricted Functionality: Unverified numbers may have limited functionality (e.g., test mode only) until verification is complete
  • Ongoing Compliance: You must maintain accurate and current business information and promptly respond to re-verification requests

6.3 Number Portability

  • Phone numbers provisioned through the Service generally cannot be ported out to other carriers
  • If you wish to port an existing number into the Service, additional terms and fees may apply
  • Porting requests are subject to carrier approval and may not always be possible

6.4 Telecommunications Regulations

You acknowledge and agree that:

  • Use of phone numbers is subject to telecommunications laws in all applicable jurisdictions
  • You are responsible for compliance with all applicable telecom regulations, including but not limited to:
    • United States: TCPA (Telephone Consumer Protection Act), TRACED Act, FCC regulations
    • Canada: CRTC regulations, Canada's Anti-Spam Legislation (CASL)
    • EU/EEA: ePrivacy Directive (2002/58/EC), GDPR, EU Electronic Communications Code
    • Ireland: Communications Regulation Act 2002, ComReg regulations
    • Other jurisdictions: Local telecommunications laws where you operate or make calls
  • You must comply with caller ID requirements and STIR/SHAKEN authentication where applicable
  • Phone numbers may not be used for any purpose that violates carrier acceptable use policies
  • We may suspend or terminate phone number services immediately if we receive complaints from carriers, regulators, or law enforcement

6.5 Emergency Services

IMPORTANT: Phone numbers provided through the Service are NOT intended for emergency calling (e.g., 911/112/999). The Service does not support emergency calling capabilities. You must maintain alternative means for emergency communications.

6.6 Number Release

  • Upon account termination or number release, phone numbers are returned to the carrier pool
  • Released numbers may be reassigned to other users; we cannot guarantee future availability
  • You should update any published materials (websites, business cards, etc.) before releasing a number

7. Payment Terms

Subscription Plans: The Service is offered on a subscription basis with various plan tiers. Pricing and features are described on our pricing page.

Currency: All prices are displayed and charged in US Dollars (USD) unless otherwise specified.

Taxes: Prices are exclusive of applicable taxes. Sales tax, VAT, or other taxes may apply depending on your location and will be added where required by law. You are responsible for any taxes applicable to your purchase.

Billing: Subscriptions are billed in advance on a monthly or annual basis.

Usage Limits: Each plan includes specific usage limits (minutes, agents, phone numbers). Exceeding limits may result in overage charges or service restrictions.

Payment Methods: We accept major credit cards and other payment methods as displayed during checkout. You authorize us to charge your payment method for all fees incurred.

Price Changes: We may change pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

7.1 Minute Billing

Per-Minute Rounding: Call duration is rounded up to the nearest minute for billing purposes. For example, a call lasting 61 seconds is billed as 2 minutes, and a call lasting 1 minute and 1 second is also billed as 2 minutes. This is standard industry practice for telephony services.

Minute Tracking: Your usage dashboard displays billable minutes, which reflect this per-minute rounding. The minutes shown in your account match the minutes deducted from your plan or minute blocks.

7.2 Refunds and Cancellation

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then.

Refunds: Fees are generally non-refundable except as required by applicable law. If you are a consumer in the European Union, you may have additional rights (see Section 18: EU Consumer Rights).

8. Intellectual Property

Our Property: The Service, including all software, designs, trademarks, and content, is owned by Beeslee and protected by intellectual property laws.

Your Content: You retain ownership of your content (call recordings, knowledge bases, business information). You grant us a license to use this content to provide the Service.

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

9. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY OF AI AGENT RESPONSES
  • WARRANTIES REGARDING THE SECURITY OF YOUR DATA
  • WARRANTIES REGARDING PHONE NUMBER AVAILABILITY OR CONTINUOUS SERVICE
  • WARRANTIES REGARDING CARRIER OR TELECOMMUNICATIONS NETWORK PERFORMANCE

AI technology is not perfect and may produce inaccurate responses. You should review AI agent performance and not rely solely on AI for critical decisions.

Telecommunications services depend on third-party carriers and networks beyond our control. Service interruptions may occur.

Statutory Rights: The above disclaimers do not affect any statutory rights that cannot be excluded or limited under applicable law. If you are a consumer in the European Union, you have legal rights under applicable consumer protection laws, and nothing in these Terms is intended to affect those rights.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DAMAGES ARISING FROM THIRD-PARTY SERVICES, AI ERRORS, OR YOUR CONTENT
  • WE ARE NOT LIABLE FOR CARRIER OUTAGES, NETWORK FAILURES, OR TELECOMMUNICATIONS DISRUPTIONS
  • WE ARE NOT LIABLE FOR REGULATORY ACTIONS TAKEN AGAINST YOU FOR YOUR USE OF PHONE NUMBERS

Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under applicable law

Some jurisdictions do not allow the exclusion or limitation of certain damages. If you are in such a jurisdiction, the above limitations apply only to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Faktia Global Technologies Limited, its officers, directors, employees, agents, and our carrier partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your content or AI agent configurations
  • Your violation of any applicable law or third-party rights
  • Your use of phone numbers, including any violations of telecommunications laws or regulations
  • Any robocalls, spam, or unsolicited communications made using the Service
  • Complaints from carriers, regulators, or recipients of your calls
  • Fines or penalties imposed by regulatory authorities related to your telecommunications activities

This indemnification obligation shall survive termination of these Terms and your use of the Service.

13. Termination

By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

By Us: We may suspend or terminate your access immediately if you violate these Terms or for any other reason with notice.

Immediate Termination: We may immediately suspend or terminate your account without notice if we receive complaints from carriers, regulators, or law enforcement, or if your use poses a risk to our platform or other users.

Effect of Termination: Upon termination, your right to use the Service ceases. Phone numbers will be released and may be reassigned. We may delete your data after a retention period unless legally required to retain it.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.

Subject to Section 15 (Dispute Resolution), the courts of Ireland shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Service.

For EU Consumers: If you are a consumer habitually resident in the European Union, you also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us and attempt to resolve the dispute informally for at least 30 days by emailing legal@beeslee.com.

15.2 For Users in the United States and Canada

If you are located in the United States or Canada:

Binding Arbitration: If we cannot resolve the dispute informally, you and Faktia Global Technologies Limited agree to resolve any claims through final and binding arbitration, except that either party may bring claims in small claims court if eligible.

Arbitration shall be conducted by a single arbitrator under the rules of the International Centre for Dispute Resolution (ICDR). The arbitration shall take place remotely (via video conference) or in Dublin, Ireland, at our election. The arbitrator's decision shall be final and binding.

Class Action Waiver: YOU AND FAKTIA GLOBAL TECHNOLOGIES LIMITED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@beeslee.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

15.3 For Users in the European Union

If you are a consumer in the European Union, the arbitration and class action waiver provisions in Section 15.2 do not apply to you. You may bring proceedings in either the courts of Ireland or the courts of your country of residence. You may also use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

15.4 For All Other Users

If you are located outside the United States, Canada, and the European Union, disputes shall be resolved in the courts of Ireland in accordance with Section 14 (Governing Law).

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

18. EU Consumer Rights

This section applies only to consumers located in the European Union. If you are a business user or located outside the EU, this section does not apply to you.

18.1 Right of Withdrawal

Under EU law, you have the right to withdraw from this contract within 14 days of signing up, without giving any reason.

To exercise this right, you must inform us of your decision by a clear statement (e.g., email to support@beeslee.com).

Exception: If you request that the Service begins immediately upon signup (before the 14-day period expires), you acknowledge that you will lose your right of withdrawal once the Service has been fully performed. For ongoing subscription services, you may still cancel for future periods.

18.2 Consumer Guarantees

Under EU consumer law and applicable Irish legislation, digital services must:

  • Be of satisfactory quality
  • Be fit for purpose
  • Match any description provided
  • Be performed with reasonable skill and care

If the Service does not meet these requirements, you may be entitled to a remedy such as bringing the Service into conformity, receiving a price reduction, or terminating the contract, depending on the circumstances.

18.3 Online Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform for consumers who wish to resolve disputes online: https://ec.europa.eu/consumers/odr

18.4 Applicable Law

These Terms do not affect any mandatory consumer protection laws in your country of residence that provide you with greater protection than the terms set out herein.
